Contract Agreement
Effective Date: 15 May 2022
Between: JapanDMC.services, a company registered and operating in Japan & USA
And: Lestac, a company registered and operating in India
Subject: Partnership Agreement for Japan DMC Services Representation
Overview: This agreement formalizes the partnership between Japan DMC and the Lestac for the representation of Japan DMC in India.
Representing Rights: Japan DMC hereby grants Lestac, the exclusive right to act as its official representative in India. This empowers the Indian agent to promote and facilitate travel services provided by Japan DMC in India to travel agents.
Scope of Services: The Lestac shall promote Japan DMC’s services to agents in India and facilitate bookings on behalf of JapanDMC.services. This includes, but is not limited to, arranging transportation, accommodations, tours, and other related services.
Payment Collection: Lestac is authorized to collect payments on behalf of JapanDMC.services rendered to clients in India. Payments received by Lestac shall be remitted promptly to Japan DMC promptly in accordance with the terms specified in the agreement between Japan DMC and the client.
Communication: Japan DMC shall liaise with Lestac and provide necessary assistance and support from its team based in Japan. All communications, including inquiries, bookings, and assistance, shall be facilitated through JapanDMC.services team.
Confidentiality: Both parties agree to maintain the confidentiality of any proprietary information exchanged during the term of this agreement.
Term and Termination: This Agreement shall commence on the effective date and shall remain valid until terminated by either party with 180 days’ prior written notice. Upon termination, all representing rights granted herein shall cease, and the Indian Agent shall no longer promote or facilitate bookings on behalf of Japan DMC.
Governing Law: This agreement shall be governed by and construed in accordance with the laws of Japan. Any disputes arising under this agreement shall be subject to arbitration in Japan.
